(1)Agreement to Terms
By installing, accessing, or using the Portility AI Chrome extension or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Service.
The Service is operated by Portility AI, LLC, a Minnesota limited liability company ("Portility AI," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and Portility AI.
(2) Who Can Use the Service
You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
By using the Service, you represent that:
You are at least 13 years of age
You have the legal capacity to enter into this agreement
Your use of the Service does not violate any applicable law or regulation
(3) What the Service Does
Portility AI is a Chrome browser extension that allows you to transfer AI conversations between supported AI platforms, including Claude (Anthropic), ChatGPT (OpenAI), Gemini (Google), and Copilot (Microsoft). Core features include Port My Chat, Port My Profile, and Second Opinion.
Important: Portility AI is an independent tool and is not affiliated with, endorsed by, or partnered with Anthropic, OpenAI, Google, or Microsoft. Use of those platforms is governed by their own terms of service, which remain your responsibility.
(4) Your Responsibilities and Acceptable Use
By using the Service, you agree to use it only for lawful purposes and in accordance with these Terms. You agree not to:
Use the Service in any way that violates the terms of service of any AI platform you access through it (including Anthropic, OpenAI, Google, and Microsoft)
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
Use the Service for any automated, bot-driven, or programmatic access to third-party AI platforms
Reproduce, duplicate, copy, sell, or resell any part of the Service without our express written permission
Use the Service to transmit any harmful, offensive, unlawful, or objectionable content
Attempt to gain unauthorized access to any part of the Service or its related systems
Interfere with or disrupt the integrity or performance of the Service
We reserve the right to suspend or terminate your access to the Service if we determine, in our sole discretion, that you have violated these Terms.
(5) Accounts and Registration
Certain features of the Service may require you to create an account. You agree to:
Provide accurate, current, and complete information during registration
Maintain the security of your password and account credentials
Notify us immediately at [email protected] if you suspect any unauthorized use of your account
Accept responsibility for all activity that occurs under your account
We reserve the right to terminate accounts, remove content, or cancel subscriptions at our discretion.

(7) Privacy and Data
Your privacy is important to us. Our Privacy Policy at portility.ai/privacy explains how we collect, use, and protect your information, and is incorporated into these Terms by reference.
Portility AI is designed with a local-first architecture. The extension operates within your browser and does not store your AI conversation content on our servers. You retain full ownership of your conversations at all times.
(8) Intellectual Property
8.1 Our Property
The Service, including its design, code, features, and all related intellectual property, is owned by Portility AI, LLC and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as described herein.
8.2 Your Content
You retain full ownership of any content you create or transmit through the Service. By using the Service, you do not grant Portility AI any ownership rights over your conversations or content.
8.3 Limited License
Subject to your compliance with these Terms, Portility AI grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your personal or internal business purposes.
(9) Third-Party Platforms and Services
The Service facilitates interactions with third-party AI platforms (Claude, ChatGPT, Gemini, Copilot, and others). Your use of those platforms is subject to their respective terms of service and privacy policies. Portility AI has no control over those platforms and is not responsible for their availability, accuracy, content, or policies.
Portility AI processes payments through Stripe. Your payment information is subject to Stripe's terms of service and privacy policy.
(10) Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PORTILITY AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Portility AI does not warrant that:
The Service will be uninterrupted, error-free, or secure
Any errors or defects will be corrected
The Service will be compatible with all browsers, devices, or operating systems
AI-Generated Content. The Service uses artificial intelligence — including third-party AI models (such as Claude, ChatGPT, and Gemini) and Portility AI's own tools (including Second Opinion's agreement scoring and Port My Chat's summarization) — to generate outputs, comparisons, and scores. AI-generated content can be incomplete, inaccurate, or misleading. You acknowledge and agree that:
Any summary, comparison, agreement score, or other output generated by the Service is provided for informational purposes only, and is not a substitute for your own judgment, professional advice, or independent verification.
Portility AI does not guarantee the accuracy, completeness, or reliability of any AI-generated content, whether generated by the Service itself or by third-party AI platforms accessed through it.
You are solely responsible for reviewing and verifying any AI-generated output before relying on it, particularly for legal, financial, medical, or other high-stakes decisions.
(11) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PORTILITY AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT SHALL PORTILITY AI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO PORTILITY AI IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
(12) Indemnification
You agree to indemnify, defend, and hold harmless Portility AI, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) your violation of any applicable law.
(13) Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.
You may stop using the Service and uninstall the extension at any time. If you have a paid subscription, cancellation terms in Section 6.2 apply.
Sections 8, 10, 11, 12, 14, and 15 of these Terms survive any termination.
(14) Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in Hennepin County, Minnesota, under the rules of the American Arbitration Association.
You waive any right to participate in a class action lawsuit or class-wide arbitration against Portility AI.
(15) Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by sending a notice to the email address associated with your account.
Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
(16) Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Portility AI regarding the Service and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
